1. Service Scope
Tradyvoo provides export management, buyer matching, and advisory services. We function strictly as a facilitator. We do not manufacture, purchase, or take physical possession of goods, nor do we act as a carrier, forwarder, or customs broker.
2. Limitation of Liability
Tradyvoo is not liable for: contractual defaults (payment/delivery issues), product quality disputes, regulatory/legal penalties arising from manufacturer non-compliance, or damages resulting from third-party logistics providers.
3. Manufacturer Responsibilities
By engaging our services, the manufacturer warrants full legal ownership of goods, strict compliance with all trade regulations, and responsibility for the accuracy of all product representations.
4. Financial Terms & Performance
Tradyvoo operates on a commission-only basis, earned upon the successful execution of an export order. Tradyvoo reserves the right to perform due diligence on the manufacturer's facility to ensure standards are met.
5. Intellectual Property & Non-Circumvention
All buyer contacts and market insights remain Tradyvoo’s proprietary assets. Manufacturers agree not to bypass Tradyvoo to engage directly with buyers introduced through our network. Breach of this clause triggers liability for damages equivalent to lost commission.
6. Termination & Discretion
Tradyvoo may terminate services immediately if a manufacturer engages in unethical practices, provides fraudulent documentation, or fails to uphold quality standards, which risks Tradyvoo’s operational reputation.
7. Governing Law
This agreement is governed by the laws of India, with exclusive jurisdiction in the courts of [Your State].
8. Disclaimer of Guarantee
Tradyvoo provides facilitation services in good faith. No specific export sales, volumes, or earnings are guaranteed. All trade decisions are entered into by the buyer and manufacturer at their own risk.
